1. Services Provided

Perceptual Advisors provides marketing and communications consulting services, including but not limited to strategy development, branding, public relations, crisis management, and thought leadership. Specific services will be outlined in a separate agreement or statement of work provided to each client.

2. Eligibility and Client Responsibility

• By using our services, you confirm that you are at least 18 years old or are authorized to enter into these Terms on behalf of your organization.
• You agree to provide accurate and complete information about your business as needed for us to deliver our services.

3. Fees and Payment Terms

• Pricing: Fees for services will be outlined in the agreement or statement of work provided to each client.
• Payment Terms: Invoices are due within 30 days unless otherwise stated in the client agreement. Late payments may incur interest charges at the rate specified in the agreement.
• Refund Policy: Fees are generally non-refundable. In the event of a dispute, please contact us to discuss possible resolutions.

4. Intellectual Property

• Client Materials: You retain all rights to materials provided to us for use in performing our services ("Client Materials"). You grant us a non-exclusive, royalty-free, worldwide license to use, modify, and create derivative works from the Client Materials solely for the purpose of providing our services.
• Deliverables: Upon full payment, you will own the final deliverables we create specifically for you, unless otherwise agreed upon in writing.
• Perceptual Advisors' IP: Any materials or methods developed by Perceptual Advisors during our work with you that are not specific to your project are our proprietary intellectual property. You agree not to reproduce, distribute, or disclose any such proprietary information to third parties without our prior written consent.

5. Confidentiality

• Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement.
• Confidential information will not include information that is publicly available or independently developed.

6. Use of Services and Content

• Restrictions: You may not use our services or website for illegal or unauthorized purposes. You agree to comply with all applicable laws and regulations when using our services.
• Content: Any content we provide on our website or through our services, including text, graphics, and images, is protected by copyright and other intellectual property laws and may not be used without our prior written consent.

7. Limitation of Liability

• To the fullest extent permitted by law, Perceptual Advisors shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to your use of our services.
• In no event shall our total liability exceed the total amount you have paid to us in the month preceding the claim.

8. Disclaimers

• No Guarantee of Results: We aim to provide high-quality services, but we cannot guarantee specific results. All services are provided “as-is” without warranties of any kind, either express or implied.
• Third-Party Content: We may provide links to third-party websites for your convenience. We do not endorse or assume any responsibility for third-party content or websites.

9. Termination

• Either party may terminate the engagement with written notice to the other party as stipulated in the specific agreement.
• Upon termination, all outstanding fees will become due immediately. Any licenses granted under these Terms shall also terminate.

10. Governing Law and Dispute Resolution

• These Terms are governed by the laws of The United States of America.
• Any disputes arising under these Terms or from our services will be resolved through mediation. If mediation is unsuccessful, the dispute will be resolved through binding arbitration in Florida, unless another jurisdiction is mutually agreed upon.

11. Amendments

We reserve the right to update these Terms at any time without notice. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
